Incorporation and legal issues for startup
This workshop
is intended for the entrepreneur who is considering starting a Silicon Valley
business or a China related business. The basic steps, documents, timing and
issues involved in forming a company will be discussed. The workshop will
identify and discuss each of the documents (articles of incorporation, board
organizational resolutions, by-laws, founders stock purchase agreements, etc.)
required to complete the formation of a corporation.
Lily
Toy is an associate in the Corporate Group of Fenwick & West LLP, a law
firm specializing in technology and life sciences matters. Fenwick & West is
headquartered in Mountain View, California, with an office in San
Francisco.
Ms. Toy
received her J.D. from Cornell Law School in 2004. During law school, Ms. Toy
was a judicial extern for the Honorable Alan Jaroslovsky of the United States
Bankruptcy Court. She received her B.A. with honors in Economics and Legal
Studies from the University of California, Berkeley in 2001. Prior to joining
Fenwick & West, Ms. Toy was a corporate associate with the Menlo Park office
of Shearman & Sterling LLP. Ms. Toy is a member of the State Bar of
California. She is fluent in Chinese (Mandarin and Cantonese). Ms. Toy’s emphasis includes:Securities Offerings,
Mergers & Acquisitions, and Venture Capital Financings.
Ping
Cai is a visiting Chinese attorney in the Corporate Group at Fenwick &
West LLP. Prior to joining Fenwick & West, Ms. Cai was a corporate associate
with the Beijing office of Jun He Law Offices. Ms. Cai’s practice includes
foreign direct investment, merger & acquisition, venture capital financing,
real estate development and operation, etc. Ms. Cai received her LL. B. and LL.
M. from China University of Political Science and Law in 1996 and 1999
respectively. In 2006, she received another LL. M. from Boston University School
of Law. Ms. Cai is a member of China Bar and the State Bar of New York. She is
fluent in Mandarin and English. Ms. Cai’s emphasis includes foreign direct
investment, merger & acquisition, and real estate.
Fred M.
Greguras is of counsel in the corporate and technology transactions groups
at Fenwick & West LLP. He practices out of the firm’s Mountain View,
California, office. Mr. Greguras focuses on strategic legal issues for software,
semiconductor-related and life sciences companies. His practice includes
start-up issues and financings in both domestic and international transactions.
He has represented a wide range of companies in financing, M&A, licensing
and other commercial transactions, from privately held startups to publicly
traded companies. Mr. Greguras has also been a venture capitalist and a general
counsel and CFO for a startup. Some of the clients he has represented

Mr. Greguras

He received a Bachelor of Arts in mathematics
from University of Omaha in 1966, a Masters of Science in mathematics and
computer science in 1968, and his J.D. in 1975 from the University of Nebraska.
Mr. Greguras is a member of the State Bar of California.
Andrew
Luh is a partner in the Corporate Group at the law firm of Fenwick &
West LLP. Mr. Luh practices out of the firm’s Mountain View, California, office.
His practice focuses on general corporate representation of high technology
clients and transactional representation on mergers and acquisitions, venture
capital financings, securities offerings and related matters. Among the clients

Mr. Luh
received his undergraduate education at the University of Virginia, where he

he graduated with distinction with a J.D. in 1996 and was elected to the
Order of the Coif.
